Mundys: 2022 Annual Report approved. Andrea Mangoni appointed Chief Executive Officer. Completion of the merger by incorporation of Schemaquarantadue and Schema Alfa into Mundys

CET 17.58 Rome, 28 April 2023 – The Annual General Shareholders’ Meeting of Mundys S.p.A.’s (“AGM”), chaired by Amb. Giampiero Massolo, today:
- approved the financial statements as of 31 December 2022, which closed with a profit of EUR 2,862 million; and
- acknowledged the presentation of the consolidated financial statements of the Mundys Group and the consolidated non-financial statement as of 31 December 2022, prepared pursuant to Legislative Decree 254/2016, included in the Integrated Annual Report 2022 approved by the Board of Directors on 4 April 2023.

Following the resignations of Andrea Pezzangora and Mattia Brentari, effective as of today, the AGM appointed as Directors Andrea Mangoni and Stefania Dotto.
The Board of Directors, held after today's Shareholders' Meeting, appointed Mr. Andrea Mangoni Chief Executive Officer and General Manager of the Company, effective as of May 1, granting him the relevant managerial powers.
On 26 April 2023 the deed of trilateral merger by incorporation of Schemaquarantadue S.p.A. (“Schemaquarantadue”) and Schema Alfa S.p.A. into Mundys S.p.A. was signed with civil law effects as of 30 April 2023 and accounting and tax effects as of 1 January 2023. The new by-laws of Mundys included in the merger plan, which will be made available on the Company’s website, will become effective on April 30, 2023.
Following the merger, Mundys nominal share capital will remain unchanged and Schemaquarantadue‘s shareholders will become direct shareholders of Mundys holding equivalent ownership stakes in Mundys to those formerly held in Schemaquarantadue. The shareholding structure of Mundys will therefore be as follows: 57.0% Edizione S.p.A. (through Sintonia S.p.A), 37.8% Blackstone, 5.2% Fondazione Cassa di Risparmio di Torino.
